1. General Provisions

  • 1.1. These Website Terms of Use (hereinafter referred to as the "Terms") define the procedure for using the website of "BIOSENSE" Limited Liability Company (hereinafter referred to as the "Company"), located at: https://www.biosense.net.ua/ua/ (hereinafter referred to as the "Website").
  • 1.2. By using the Website, the user (hereinafter referred to as the "User" or "You") confirms that they have read these Terms and accept them in full.
  • 1.3. If you do not agree with any provision of these Terms, please cease using the Website.
  • 1.4. The Company reserves the right to modify these Terms at any time. Changes take effect from the moment of their publication on the Website.
  • 1.5. Continued use of the Website after changes have been made constitutes acceptance of the amended Terms.

2. Purpose and Content of the Website

  • 2.1. The Website is created and used for the purpose of carrying out the Company's business activities, specifically for trading medical equipment, providing repair and maintenance services for electronic and optical equipment, as well as implementing other activities expressly provided for by the Company's Charter and the current legislation of Ukraine.

  • 3.1. The Website is intended for the Company's business operations, including the organization of trade in medical equipment, providing repair, service, and technical maintenance for electronic and optical equipment.
  • 3.2. All content (texts, photos, videos, logos, design, documents, and other materials) is the intellectual property of the Company or third parties and is protected by the Law of Ukraine "On Copyright and Related Rights".
  • 3.3. Any reproduction, copying, distribution, public display, processing, translation, or other use of Website materials without prior written consent from the Company is prohibited, except as expressly provided for by Ukrainian law.
  • 3.4. The Company reserves the right not to respond to orders, statements, or requests containing false, offensive, or potentially fraudulent information.
  • 3.5. Creating an account or mandatory registration is not required to use the Website.
  • 3.6. All Website functionalities are open for public use, except for cases involving the placement of orders for medical equipment or receiving repair/maintenance services.
  • 3.7. The User bears sole responsibility for the accuracy, relevance, and completeness of the information provided in requests or during order placement.
  • 3.8. The User agrees to refrain from any actions that may disrupt the normal functioning of the Website, damage the Company's business reputation, or violate intellectual property rights.
  • 3.9. The Company may modify, update, or delete content, as well as temporarily restrict or terminate Website operations for technical or organizational reasons without prior notice.
  • 3.10. In case of changes to these Terms, the Company shall notify Users by publishing a notice on the Website at least 7 days before the changes take effect.

5. Liability

  • 5.1. The Company is not liable for temporary technical failures, access interruptions, data loss, or other technical deficiencies not caused by the Company's fault, including those resulting from:
    • acts or omissions of third parties;
    • disruptions in communication networks, power supply, or third-party software;
    • force majeure circumstances.

6. Dispute Resolution

  • 6.1. All disputes shall be resolved through negotiations between the User and the Company.
  • 6.2. If no agreement is reached, the dispute shall be considered by the relevant court of Ukraine.

7. Implementation of Business Activities

  • 7.1. The Company operates in accordance with the Law of Ukraine "On Limited and Additional Liability Companies" and its Charter.
  • 7.2. The primary goal is profit-oriented entrepreneurial activity, including:
    • wholesale and retail trade of medical equipment and medical devices;
    • repair, technical maintenance, and servicing of electronic, optical, and medical equipment;
    • provision of consulting and information services in the field of medical and technical equipment.
  • 7.3. The Company has the right to engage foreign companies, partners, and individuals registered outside of Ukraine for its business activities.
  • 7.4. The Company may conclude joint activity, agency, distribution, and other commercial agreements and participate in international projects and grant programs.
